The Hawaii NoniPower Cooperative was formed to help Big Island noni fruit and herb farmers, and consumers to work together, to acquire great value from Hawaii Island fruit and herb-based health products.  

The Hawaii NoniPower Cooperative is a legally organized, not for profit, consumer cooperative formed under Hawaii Revised Statutes 421c. We are registered with the State of Hawaii/IRS (July 15, 2016) and with the FDA (Octover 1, 2016).

In close cooperation with the local farmers of Big Island, Hawaii, we strive to create and develop unique products that support superior health and wellbeing .

WHAT IS A CONSUMER COOPERATIVE

Cooperatives are run at cost (not for profit), for the benefit of the members, but unlike other not for profit organizations, are allowed to issue exempt securities (shares) to its members to raise equity financing (working capital).

Cooperatives are allowed to pay up to an 8% dividend to their shareholders annually.

Shareholders may sell their shares back to the cooperative, with the board of directors approval.

Consumer cooperatives do not allow any one dominant shareholder. In many cooperatives, any one shareholder’s ownership is limited to 19%. Everyone needs to work together, per the cooperative bylaws (rule book), to achieve the cooperative goals.

INVESTMENT

The Co-op board, for this second round of equity financing, has approved the sale of 6,000 shares of stock, priced at $50 per share, to raise $300,000 for operations development. 10 share minimum purchases are encouraged. 1,980 shares (19% ownership), is the maximum purchase by any one shareholder, per bylaws, allowed.

The Co-op is following a consumer cooperative equity financing development model, which uses stock splits to reward early, higher risk, developmental stage, cooperative supporters.

  1. I understand that to become an owner in the Hawaii NoniPower Cooperative I am required to invest in a minimum of one share of common stock at a par value. The Hawaii NoniPower Cooperative is a consumer cooperative operating in compliance with the Hawaii Revised Statutes 421C. NOTE: A corporation or partnership may also own Hawaii NoniPower common stock as long as they are consumers and supporters of the co-op products and services.
  2. I certify that:
    • I am a supporter of the co-op’s goal to help Big Island noni fruit and herb farmers, and consumers to work together, to acquire great value from Hawaii Island fruit and herb-based health products.
    • I have read The Role of an Owner at the Hawaii NoniPower Cooperative and agree to its conditions.
    • I have read the Hawaii NoniPower Cooperative’s By-Laws and I agree to comply with and to be bound by the terms and conditions therein.
